1. Definitions
Centropic is a sole proprietorship (eenmanszaak) established in the Netherlands, registered with the Chamber of Commerce (KVK) under number 62598120, with VAT identification number NL002296189B28. In these terms, "we", "us" and "our" refer to Centropic. "Client", "you" and "your" refer to the party that enters into an agreement with us for services such as consulting, software development, design, or other work as agreed in writing.
2. Applicability
These terms apply to all offers, agreements, and other legal relationships between Centropic and the client, unless the parties explicitly agree otherwise in writing. Deviations from these terms are only valid if agreed in writing. General terms of the client do not apply unless we have accepted them in writing.
3. Offers and agreement
Offers and estimates are valid for 30 days unless stated otherwise. An agreement is formed when the client accepts our offer in writing (including email) or when we start performing the work with the client's consent. We will confirm the agreement in writing when appropriate. The agreement describes the scope of the work, fee or pricing method, and payment terms.
4. Performance and cooperation
We will perform the work to the best of our ability and in line with the agreement. The client will provide in a timely manner all information, access, and cooperation necessary for the performance of the work. Delays or extra costs caused by late or incomplete cooperation are for the client's account unless otherwise agreed.
5. Fees and payment
Fees are as agreed in the offer or agreement. All amounts are in euros and exclusive of VAT unless stated otherwise. Invoices are payable within 14 days of the invoice date. We are entitled to charge statutory interest on overdue amounts and reasonable collection costs. The client may not set off amounts against our claims without our prior written consent.
6. Intellectual property
Unless otherwise agreed in writing, all intellectual property rights in materials, software, designs, documentation, and other deliverables created by us in the performance of the agreement vest in Centropic. We grant the client a non-exclusive, non-transferable right to use those deliverables for the purpose and scope agreed in the agreement. Pre-existing materials and generic tools, methods, and know-how remain our property. The client may not reverse-engineer, sublicense, or commercially exploit our deliverables beyond the agreed use without our written permission.
7. Confidentiality
Each party will keep confidential all confidential information received from the other party and will use it only for the purpose of the agreement. This obligation continues after the agreement ends. Information that is publicly available or that a party can show it knew independently is not confidential.
8. Liability
Our liability is limited to the amount paid by the client under the agreement in the twelve months preceding the event giving rise to the claim, or to the amount covered by our insurance if higher. We are not liable for indirect damage, including loss of profit, data, or goodwill. These limitations do not apply in case of intent or deliberate recklessness on our part or in case of death or personal injury. Any claim must be notified to us in writing within 30 days after the client became aware of the damage.
9. Term and termination
The agreement runs for the term agreed. Either party may terminate the agreement in writing with due observance of a notice period of at least 30 days, unless a different period was agreed. We may terminate or suspend the agreement with immediate effect if the client fails to perform a material obligation and does not remedy the failure within a reasonable period after written notice, or in case of bankruptcy or suspension of payments. On termination, the client will pay for all work performed and costs incurred up to the termination date.
10. Applicable law and disputes
Dutch law applies to these terms and to all agreements between us and the client. The courts of the Netherlands have exclusive jurisdiction, unless mandatory law prescribes otherwise. We may alternatively bring claims before the courts of the client's place of business.
